Terms of Service

Welcome to Andine's YouTube Intelligence ("Company," "we," "us," "our"). These Terms of Service ("Terms") govern your purchase and use of our research reports and related services (collectively, the "Services"). By ordering or using the Services, you agree to these Terms.

1) Definitions

• Client: the individual or entity purchasing Services.
• Deliverables: documents we provide (e.g., PDF/CSV/HTML) containing insights and recommendations.
• Public Data: information obtained from publicly available sources, including via the official YouTube Data API v3.
• YouTube API Services: the YouTube Data API v3 services provided by Google that we use to access public YouTube data.

2) Scope of Service

• We analyze Public Data to produce Deliverables such as content gap analyses, topic ideas, competitor snapshots, and suggested 30/60/90-day calendars, depending on the purchased tier.
• Exclusions: video production, editing, channel management, ad buying, guaranteed rankings, or outcome-based guarantees.

3) Eligibility

• You must be at least 18 years old and able to form a binding contract.
• If you order on behalf of a company, you represent you have authority to bind that company.

4) Ordering & Account Communications

• Orders are placed via our form or email and must include accurate channel URLs, niche, and goals.
• We may contact you at the email provided to clarify inputs and deliver the Deliverables.

5) Fees, Taxes, & Payment

• Fees are due in full before work begins. Prices are listed on our Sales Page.
• Client is responsible for applicable taxes, duties, and fees required by law.

6) Delivery Time & Revisions

• Typical delivery is 1–2 business days per order; timing is best-effort and may be impacted by third-party outages and API limits.
• One (1) round of factual corrections within seven (7) days of delivery. New research or scope changes require a new order.

7) Refunds

• Because the Deliverables are bespoke research, all sales are final upon delivery.
• If we make a factual error, we will correct it within the revision window described above.

8) Client Materials & License to Us

• Client represents and warrants it owns or has rights to any materials it provides and that such materials do not infringe third-party rights.
• Client grants us a limited, non-exclusive license to use provided materials solely to perform the Services.

9) Intellectual Property & License to You

• We retain all rights in our methodologies, processes, templates, and tools.
• Upon full payment, Client receives a non-exclusive, non-transferable license to use the Deliverables internally for its channel/brand. Resale or republication of our Deliverables or datasets is prohibited without our written consent.

10) Confidentiality

• Each party agrees to protect the other's non-public information disclosed for the purpose of the Services and to use it only as necessary to perform the Services, except where disclosure is required by law.

11) Acceptable Use & Compliance

• Client will not request unlawful analysis or use the Deliverables to violate YouTube/Google policies or applicable law.
• We operate solely with official endpoints of the YouTube Data API v3 and do not scrape, bypass access controls, or resell YouTube data.
• YouTube API Services Compliance: Our Services use YouTube API Services. By using our Services, you agree to be bound by the YouTube Terms of Service and Google Privacy Policy.

12) Third-Party Platforms & Force Majeure

Service availability depends on third-party platforms (e.g., YouTube APIs). We are not liable for delays or changes caused by outages, rate limits, policy updates, or events beyond our control (including cyber incidents, disasters, or utility failures).

13) Disclaimers

Services are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Insights are professional opinions based on Public Data and are not guarantees.

14) Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to the Services will not exceed the amount you paid for the specific order giving rise to the claim. In no event are we liable for indirect, incidental, special, consequential, or punitive damages (including lost profits or revenue), even if advised of the possibility.

15) Indemnification

Client agrees to defend, indemnify, and hold harmless the Company from claims, damages, and costs (including reasonable attorneys' fees) arising out of Client's content, breach of these Terms, or violation of law or third-party rights.

16) Governing Law & Venue

These Terms are governed by the laws of the State of Arizona, without regard to conflicts principles. The parties consent to the exclusive jurisdiction and venue of the state or federal courts located in Phoenix, Maricopa County, Arizona.

17) Changes to Terms

We may update these Terms from time to time. Material changes will be posted with a new effective date. Continued use of the Services after changes constitutes acceptance.
